About the Founder

Will Prioleau founded Mainsheet Capital Partners after seven years as a middle-market investment banker at Piper Sandler and D.A. Davidson, where he advised founders and owners on the sale of their businesses across a range of industries. He has led and executed dozens of buy-and sell-side M&A transactions, private equity raises, and debt financings giving him a firsthand understanding of what it takes to get a deal across the finish line and what sellers care about most in a transition.

Before banking, Will spent nearly a decade in sales leadership and operations — building teams from the ground up, co-founding a software company, launching new products, and managing division P&Ls. He has hired and led over 100 people and knows what it takes to run a business day to day, not just analyze one.

Will holds an MBA from USC Marshall of Business and a BA from UC Berkeley, where he competed on the 2010 national championship rowing team. He lives in Huntington Beach with his wife and two young sons, and founded Mainsheet with one goal: to find an exceptional business and build on the legacy its owner worked hard to create.

Process Overview

  1. Initial conversation, can be virtual or over coffee, lunch, or a drink

  2. If there is mutual interest, MCP will review initial diligence items and develop an offer that includes valuation and structure of a proposed transaction

  3. Once agreed upon, MCP will conduct confirmatory due diligence and work toward closing the transaction and developing a smooth transition plan
